Zomato Limited filed a Draft Red Herring Prospectus dated 27 April 2021 with India's Securities and Exchange Board, listed the next day on SEBI's own filings page under Public Issues, Draft Offer Documents filed with SEBI. The document, filed under the SEBI ICDR Regulations ahead of listing on the BSE and the National Stock Exchange, proposed an initial public offering aggregating up to 82,500 million rupees, made up of a fresh issue of shares aggregating up to 75,000 million rupees and an offer for sale of up to 7,500 million rupees in shares by selling shareholder Info Edge (India) Limited, with the exact per-share price and share count left blank, as is standard for a draft filed before the price band is fixed. The cover page states plainly that the company is a professionally managed company and does not have an identifiable promoter.
What the documents establish
SEBI's own filings index and the draft prospectus text agree on the filing date and category, a primary confirmation that this was a formal DRHP submission rather than an informal draft. The prospectus itself states the limit of SEBI's role in the clearest terms available: the equity shares in the offer have not been recommended or approved by the Securities and Exchange Board of India, nor does SEBI guarantee the accuracy or adequacy of the contents of the draft red herring prospectus. That sentence, drawn from Zomato's own filing rather than from press coverage of the IPO, separates SEBI's function, receiving and publishing the document, from any assessment of the company's merits or the document's completeness. The company's own responsibility statement, by contrast, places the burden for the accuracy of the document on Zomato and, for its own disclosures only, on Info Edge as the selling shareholder.
The operating read
A draft prospectus is, by design, incomplete on price and quantum; the bracketed figures on Zomato's cover page are placeholders finalized only in a later Red Herring Prospectus filed with the Registrar of Companies. A reader citing figures from a DRHP should treat every disclosed number as provisional until checked against that later document; this is standard practice under India's public-offer framework generally, not a Zomato-specific caveat, and it applies to any company's SEBI-filed draft.
What to check before you decide
Before citing figures from any SEBI-filed draft prospectus as final, check the following.
- Has the DRHP been superseded by a Red Herring Prospectus or final prospectus with the price band and share count filled in?
- Does the disclaimer language match what SEBI's own filing category, Draft Offer Documents, implies about the regulator's role?
- Is the no-identifiable-promoter structure, and its governance implications, addressed anywhere else in the company's disclosure?
Zomato's April 2021 DRHP is a document that states its own limits clearly; the reader's task is to carry those limits forward rather than to treat a draft filing as a finished offering record.
