Delivery Hero's 2017 prospectus named its own regulator

Delivery Hero's Frankfurt IPO prospectus states BaFin approved only its coherence and comprehensibility, not the company's investment merits.

The record

Delivery Hero AG's prospectus, dated 19 June 2017, covers a public offering of up to 18,950,000 newly issued shares from a capital increase, up to 15,000,000 existing shares from selling shareholders and an over-allotment of up to 5,092,500 further shares, priced in a range of EUR 22.00 to EUR 25.50. The same document sought admission to trading on the regulated market segment of the Frankfurt Stock Exchange, with simultaneous admission to that market's Prime Standard sub-segment, which carries additional post-admission disclosure obligations, under the ticker DHER and ISIN DE000A2E4K43. The offer, alongside the new capital raised, also brought the company's full existing share capital, 153,048,900 shares before the new issue, onto the regulated market.

What the documents establish

The prospectus states its own approval chain directly: this prospectus has been approved solely by the German Federal Financial Supervisory Authority, BaFin, and BaFin has approved this prospectus after having performed an assessment of the coherence and comprehensibility of the information presented in this prospectus. That sentence, in the issuer's own filing rather than in a bank's marketing summary, defines what a BaFin approval actually certifies, that the document is internally coherent and comprehensible, not that its contents are accurate or that the offering is a sound investment. Delivery Hero's current investor relations site confirms the listing has held since 2017 and that the company later joined Germany's MDAX index, corroborating that the Prime Standard admission described in the prospectus took effect and persisted.

The operating read

A reader who sees a BaFin-approved prospectus attached to a German offering should read that phrase the way the prospectus itself defines it, a coherence and comprehensibility check, not a merits review or a guarantee of accuracy, a distinction that recurs across most prospectus regimes but is stated unusually plainly in this document. Editorially, the same caution applies to any regulator's prospectus approval anywhere: the scope of what was checked is usually written into the document itself, and it is worth reading that specific sentence rather than assuming approved means vetted for investment quality.

What to check before you decide

Before treating a German or other EU prospectus approval as an endorsement, check the following.

  • What does the prospectus's own approval clause say the regulator actually assessed?
  • Which market segment, the general regulated market or the additional-obligations Prime Standard tier, was admission sought for?
  • Does the final placement price, once set, match the disclosed range, or did the offering price outside it?

Delivery Hero's 2017 prospectus is a useful template for that reading discipline precisely because it states its regulator's scope in one unambiguous sentence.
