Zoom's 2019 filing reported a profit before anyone asked why

Zoom's pre-pandemic S-1 discloses GAAP net income of 7.6 million dollars for fiscal 2019, a figure the filing cannot be read past.

The record

On 22 March 2019, Zoom Video Communications, Inc. filed a Form S-1 registration statement ahead of its initial public offering on the Nasdaq Global Select Market. The filing states that Zoom's revenue was 60.8 million dollars, 151.5 million dollars, and 330.5 million dollars for the fiscal years ended 31 January 2017, 2018, and 2019 respectively, representing annual growth rates of 149 percent and 118 percent. The same document reports net income of 7.6 million dollars for fiscal 2019, following a net loss of 3.8 million dollars in fiscal 2018 and an approximately breakeven result in fiscal 2017.

What the documents establish

The S-1 is Zoom's own audited disclosure for the periods shown, and the 7.6 million dollar net income figure for the fiscal year ended 31 January 2019 is a GAAP result reported in the filing, not an adjusted or non-GAAP measure. Read on its own terms, the filing describes a company whose figures at IPO differed from many software peers of that period: profitability in the most recent full fiscal year rather than an accelerating loss financed by growth capital. This is an editorial observation, not a claim that GAAP profitability at listing predicts outcome; some peers with larger losses at IPO have also performed well, and this filing does not address that comparison. What the document does establish is that a specific, audited net income figure existed for a specific period, disclosed alongside the growth-rate context needed to judge whether it depended on decelerating investment.

What to check before you decide

A founder or operator reading a profitability claim at IPO, in this filing or another, should check the same three things before drawing a conclusion from it.

  • Is the reported profit a GAAP figure from the filing's audited statements, or an adjusted non-GAAP measure defined elsewhere in the prospectus?
  • Does the growth rate in the same period suggest the profitability came from decelerating investment rather than durable margin?
  • What period does the filing actually cover, and has anything material to the business changed since that period that the filing could not have reflected?

Zoom's 2019 filing states its own numbers for its own disclosed periods and nothing about the years that followed. Reading a filing strictly to its stated dates, rather than backfilling it with later history, is the discipline this document rewards.
