Techstars discloses $220,000 across two instruments, not one

Techstars' own investment-terms page splits its $220,000 into a $20,000 equity slice and a $200,000 uncapped SAFE, plus a side letter.

The record

Techstars publishes its standard accelerator terms on a dedicated investment-terms page, as retrieved on 16 September 2026. The page states plainly: 'The $220,000 is made up of two convertible investment agreements and a side letter. One investment is a $20,000 fixed-percentage convertible equity agreement for 5% common stock (on a post-money basis). Another investment is a $200,000 uncapped MFN post-money Safe.' It adds that 'the side letter sets out certain rights Techstars needs in the future,' and that the CEA converts when the company 'does a priced round of at least $1 million.' Techstars' founders page and accelerator hub both restate the headline figure, with the hub page directing readers to 'review our full investment terms' for the breakdown.

What the documents establish

The investment-terms page is explicit that the two components are not equivalent in size of claim: 'The total equity Techstars receives will be a minimum of 5%, plus whatever the uncapped MFN Safe converts into,' meaning the eventual total is not fixed at signing. The page also states a geographic exception, marked by its own footnote: 'the only exception is that Techstars accelerator programs in Asia-Pacific offer a $100,000 uncapped MFN Safe' in place of the full $220,000 package. The founders and accelerator-hub pages corroborate the $220,000 headline figure and the three-month program length but do not themselves restate the 5%/uncapped split or the Asia-Pacific variation, which appear only on the dedicated terms page. That distinction matters: a reader who stops at the founders page sees only the total dollar figure, not the instrument structure behind it.

The operating read

For an applicant comparing Techstars against another accelerator, the editorial reading is that '$220,000 for 5%' understates what Techstars actually receives, because the uncapped SAFE has no ceiling of its own and its value depends on the company's own future round. A founder should model the CEA's fixed 5% and the SAFE's variable conversion separately, the same discipline the same page's own $20M pre-money worked example applies, rather than treating the total as a single blended percentage fixed at the time of acceptance.

What to check before you decide

Before comparing this figure against another program's terms, check these points against the current page and the company's own facts.

  • Is the applying company in a region where Techstars' $100,000 Asia-Pacific variant applies instead of the standard $220,000 package?
  • Has the company already closed a priced round of at least $1 million, the threshold the page sets for the CEA to convert?
  • What terms will the company's own next SAFE or priced round set, since those determine what the uncapped MFN tranche is ultimately worth?

This is an editorial reading of a page that can change between accelerator cohorts; a founder should confirm current terms directly with Techstars before applying.
