An SEC filing set the price of Rdio's asset sale

Pandora's own 8-K states it agreed to pay $75 million for Rdio's technology through a bankruptcy-court sale, not for Rdio's business.

The record

On 16 November 2015, Pandora Media, Inc. (NYSE: P) filed a Form 8-K with the SEC disclosing that it had entered an Asset Purchase Agreement with Rdio, Inc. to acquire certain assets for '$75 million in cash, subject to certain price adjustments.' The filing states that Rdio would 'file a voluntary petition commencing a chapter 11 bankruptcy case' in the U.S. Bankruptcy Court for the Northern District of California, with the sale structured as a supervised transaction under Section 363 of the Bankruptcy Code. Pandora's attached press release, issued the same day, quotes CEO Brian McAndrews and Rdio CEO Anthony Bay and states plainly that 'Pandora is not acquiring the operating business of Rdio.'

What the documents establish

Both documents come from Pandora, the buyer, filed under its own SEC reporting obligations; they are not Rdio's bankruptcy petition and do not describe what Rdio's estate or creditors ultimately recovered. The 8-K's $75 million figure is stated as 'subject to certain price adjustments,' and both documents note the price could be topped by a competing bid at a court-supervised auction, so $75 million is the agreed starting price rather than a guaranteed closing amount. The press release specifies the deal covers 'technology, IP and talent,' with Rdio's branded service winding down in every market — a materially narrower transaction than an acquisition of the company as a going concern, and distinct from any conclusion about why Rdio itself could not continue as an independent streaming service.

The operating read

This is an editorial read. When a distressed company's assets are absorbed by a larger, financially healthier rival, the operative distinctions worth tracking are: the buyer's own disclosure versus the seller's bankruptcy record; the price agreed at signing versus the price that survives a competing-bid auction; and an asset sale versus a purchase of the underlying business, since only the second implies the buyer assumes the seller's operating liabilities and customer relationships.

What to check before you decide

Before citing a public buyer's 8-K as the full record of a bankrupt seller's sale, check what it actually discloses.

  • Does the filing state a final closing price, or only the price agreed before any competing bid?
  • Does the disclosed transaction cover the target's whole business, or only specified assets?
  • Is there a separate filing from the seller's own bankruptcy case that would confirm the outcome for creditors?

Pandora's own filing establishes what Pandora agreed to pay, and for what, on 16 November 2015. It does not establish what Rdio's bankruptcy estate ultimately distributed to creditors, since that record sits in the bankruptcy case itself rather than in the acquirer's securities filing.
