A Form D named after Plaid is not Plaid's own liquidity plan

SEC filings show outside vehicles buying Plaid's common stock in 2021 and 2025, distinct from a company-run tender offer.

The record

Plaid Technologies, Inc. itself has filed only one Form D with the SEC, in 2016, for an early funding round; its later, much larger private valuations were not accompanied by further Form D filings in Plaid's own name. What the EDGAR record shows instead is a series of single-purpose vehicles named after Plaid that raised money from accredited investors to acquire Plaid's common stock on the secondary market. One, "Plaid Common I, a Series of Republic Capital Master Fund, LP," filed a Form D on 10 August 2021 reporting a first sale of 30 July 2021, $4,433,579 raised from nine accredited investors at a $100,000 minimum. A second, "Plaid Mar 2025 a Series of CGF2021 LLC," filed a Form D on 1 May 2025 reporting $240,000 raised from eleven investors, first sale 14 April 2025, administered through Sydecar.

What the documents establish

Both filings are the issuer's own required disclosure of a Regulation D offering, not a news account of one, and both name Plaid in the fund's title rather than describing Plaid as the filer. Neither Form D states that the underlying shares came from a company-sponsored employee tender offer as opposed to some other existing holder; that sponsorship detail is not part of what a Form D discloses. What the filings do establish is that a structured vehicle existed to pool outside capital and take ownership of Plaid common stock outside of any new issuance by Plaid, in both 2021 and 2025, using two different SPV administrators. That recurrence is itself evidence of a repeated liquidity mechanism rather than a one-off transaction.

The operating read

This is an editorial reading beyond what the two filings state: when a private company's employees or early holders want liquidity without the company itself selling new shares, one common structure is for a platform to form a single named vehicle, raise money from its own accredited-investor base, and become the buyer of record for shares tendered by existing holders, keeping the cap table entry to one name instead of many. A Form D from such a vehicle confirms outside capital was raised and shares changed hands in some fashion; it does not confirm the company organized a formal tender offer, set a company-wide window, or fixed a price for all participants, and a reader should not treat "a fund named after the company filed a Form D" as proof of a company-run program without independent confirmation.

What to check before you decide

Before describing a private secondary transaction as an employee tender offer, check:

  • Does the company itself, not just a buying vehicle's SEC filing, confirm it organized or authorized the transaction?
  • Does the Form D's related-persons section name anyone affiliated with the underlying company, or only the fund's outside administrator?
  • Is the offering amount consistent with a broad, company-wide program, or a narrower purchase from a small number of holders?

The SEC record shows repeated capital formation around Plaid's common stock; it does not establish the internal structure or eligibility terms of any Plaid-run liquidity program.
