Katapult's control gap outlived its SPAC merger

Katapult's 2022 10-K disclosed unremediated material weaknesses first found in the 2018 audit, distinct from any going-concern issue.

The record

Katapult Holdings, Inc., which became a public company through a reverse merger with the SPAC FinServ Acquisition Corp completed 9 June 2021, disclosed a material weakness in its internal control over financial reporting in its Form 10-K for fiscal year 2021, filed 15 March 2022. Item 9A of that filing states the weakness was first identified in connection with the audits of Legacy Katapult's financial statements for fiscal years 2018 through 2020, and names two specific deficiencies: insufficient personnel with the GAAP knowledge to create a proper control environment for complex accounting judgments, and a lack of controls to review the depreciation, cost of property sold, and impairment expense curves underlying its lease-to-own accounting.

What the documents establish

The company's own Form 10-K for fiscal year 2022, filed 9 March 2023, states the same two material weaknesses, framed slightly differently as GAAP-knowledge and journal-entry-review deficiencies, had still not been remediated as of 31 December 2022, four years after they were first identified in the 2018 audit. Neither filing describes a restatement of previously issued financial statements; the disclosure is limited to an ineffective internal control conclusion, distinct from a finding that filed numbers were wrong. Both 10-Ks also state the filing does not include an auditor's attestation on internal control, citing the emerging growth company exemption, so no AS 2201 integrated-audit opinion tested these controls during this period.

As an editorial matter, this pairing illustrates why a material weakness disclosure and a going-concern qualification answer different questions: Katapult's 2022 10-K disclosed persistent control deficiencies while making no going-concern statement in the same filing, so the two labels should not be read as interchangeable signals of financial distress. The 2023 filing's remediation section describes hiring a new chief financial officer and continuing work with external advisors on a COSO-based control framework, without asserting the weaknesses were resolved.

What to check before you decide

Before treating a material weakness disclosure as equivalent to a solvency warning, check the following against the company's own filings:

  • Does the filing separately address going concern, and does that conclusion differ from the internal control conclusion?
  • How many consecutive fiscal years has the same unremediated weakness appeared in Item 9A?
  • Does the filing state whether an auditor attestation under AS 2201 was performed, or was it exempted as an emerging growth company?

A material weakness describes a control design problem the company itself has flagged; whether that problem has produced a misstated number, or threatens the business's survival, are separate questions the same filing may or may not answer.
