ASX Chapter 1 offers a profit path and an assets path

ASX's own Chapter 1 sets a profit test, an assets test and a 300-holder spread rule for admission, not a rating of investment quality.

The record

Chapter 1 of the ASX Listing Rules sets the conditions ASX applies before admitting an entity to its official list. The chapter states ten conditions, including a compliant constitution, a lodged prospectus or disclosure statement, a minimum 20% free float at admission (Condition 7), and at least 300 non-affiliated holders each holding a parcel worth no less than AUD 2,000 (Condition 8). Condition 9 requires the entity to satisfy either the profit test in rule 1.2 or the assets test in rule 1.3. The profit test asks for three years of audited accounts, aggregated profit from continuing operations of at least AUD 1 million over those years, and consolidated profit above AUD 500,000 for the trailing twelve months. The assets test instead asks for net tangible assets of at least AUD 4 million, or a market capitalisation of at least AUD 15 million, plus working capital of at least AUD 1.5 million. What the documents establish

ASX's own rulebook, not a law firm's summary, is the source for every figure above: this is the exchange's self-published admission standard, enforced by ASX under its own rules rather than by a securities regulator. The Listing Rules index page confirms ASX organizes its rulebook into twenty chapters, with Chapter 1 covering admission and separate chapters governing quotation, disclosure and ongoing obligations. The two-path structure, profit or assets, is deliberate: a company with three years of earnings history can skip the assets test, while a pre-revenue company can list on capital strength alone. Nothing in the chapter certifies that a company meeting these thresholds is a sound investment; the conditions are eligibility gates, not a quality signal.

The operating read

A founder reading Chapter 1 as a template for a non-ASX listing should not assume the profit and assets tests translate to Nasdaq's or the NYSE's own standards; each exchange sets its own thresholds, currencies and holder-count rules under its own Corporations Act framework. What transfers as a general pattern, editorially, is the two-path logic itself: exchanges commonly let a company qualify on trading history or on balance-sheet strength, and which path a company used tells a reader more about its stage than the headline listing fact does. Condition 8's warning against obtaining spread by artificial means is worth noting as a check against offerings engineered to clear a holder-count box.

What to check before you decide

Before treating an ASX admission as a proxy for financial health, check the following against the company's own lodged documents.

  • Which test, profit or assets, did the entity rely on, and does its prospectus disclose that path?
  • Does the free float and holder count reported at admission match Condition 7 and Condition 8?
  • Is the version of Chapter 1 being relied on current, given ASX amends its Listing Rules periodically?

Chapter 1 is an admission gate set by ASX itself, current as retrieved on 16 September 2026; it says nothing about post-listing performance, and any comparison to a US or Canadian standard should treat the resemblance as structural, not identical.
